How to proceed if you wish to invest
Eligible Investors, that fall into one or more of the categories below, should complete the form and click ‘submit’
We will then forward you and Information Memorandum and Subscription Pack, carry out Statutory anti-money laundering checks and then forward details of our bank account so you can make a deposit of investment funds.
These are the four categories of Investors that are permitted by the Financial Conduct Authorities to participate in this type of investment:-
1. Certified Sophisticated Investors
A certified sophisticated investor is a person who has a certificate (issued in the last 3 years) in writing or other legible form signed by a person duly authorised by the FCA to the effect that the investor in question is sufficiently knowledgeable to understand the risks associated with the investment in question being a non-mainstream pooled investment.
2. Certified High Net Worth Individuals
A certified high net worth individual for whom at least one of the following applies:
(a) had, during the financial year immediately preceding the date below, an annual income to the value of £100,000 or more;
(b) held, throughout the financial year immediately preceding the date below, net assets to the value of £250,000 or more. Net assets for these purposes do not
(i) the primary residence or any money raised through a loan secured on that residence;
(ii) any rights under a qualifying contract of insurance (within the meaning of the Financial Services and Markets Act 2000 (Regulated Activities) Order 2001);
(iii) any benefits (in the form of pensions or otherwise) which are payable on the termination of service or death or retirement which one (or their dependants are), or may be, entitled.
3. Investment Professionals
An investment professional is an individual to whom at least one of the followingapplies:
(a) the individual is an ‘authorised person’ for the purposes of FSMA;
(b) the individual is a person who is ‘exempt’, where the communication relates to a controlled activity which is a regulated activity in relation to which the person
(c) the individual is any other person:
(i) whose ordinary activities involve him in participating in unregulated schemes and/or non-mainstream pooled investments for the purposes of a business carried on by him; or
(ii) who it is reasonable to expect will so participate for the purposes of a business carried on by him;
(d) the individual is a government, local authority (whether in the United Kingdom or elsewhere) or an international organisation;
(e) the individual is a person (“A”) who is a director, officer or employee of a person (“B”) falling within any of sub-paragraphs (a) to (d) above, where the communication is made to A in that capacity and where A’s responsibilities when acting in that capacity involve him in B’s participation in unregulated schemes and/or non-mainstream pooled investments. Investment professionals are expected to have professional experience in relation to matters relating to investments.
4. Certified High Net Worth Companies, Partnerships and Unincorporated Associations
A certified high net worth company, partnership or unincorporated association because at least one of the following applies:
a) a body corporate which has, or is a member of the same group as an undertaking which has, a called-up share capital or net assets of not less than:
(i) £500,000, as a body corporate with more than 20 members (or a subsidiary of a body corporate with more than 20 members), or
(ii) £5 million;
b) an unincorporated association or partnership which has net assets of not less than £5 million; or
(c) The trustee of a high value trust where the aggregate value of the cash and investments which form part of the trust’s assets (before deducting the amount of its liabilities) are £10 million or more (or have been £10 million or more in the last 12 months).
